Fair Car Offers – Car Buying Service

Thank you for choosing FairCarOffers! We appreciate the opportunity to help you in your search for your next car. To clearly set forth expectations, roles and responsibilities, we are providing you with a simple service agreement to help you understand what we do and do not do (the “Agreement”). By signing up for our FairCarOffers service (the “Service”) and providing us with payment information, you expressly agree to be bound by the terms outlined in this Agreement. As such, please read the terms set forth in this Agreement carefully.

Overview

The Agreement made and effective as of 01/27/2026, by and between, you (the “Customer” or “you”) and MG Studio, LLC, a Delaware Corporation, with an address of 17900 N Hayden Rd, Scottsdale, AZ 85255 (“FairCarOffers”) (collectively, the “Parties”).

In exchange for your payment to FairCarOffers, FairCarOffers will offer you certain services through a representative (the “FairCarOffers Representative”) that may include, depending on the tier of service you select, the following: helping you identify available vehicles within your price range, scheduling test drives and dealership appointments, assessing and securing pricing and/or financing from a dealership or third party on a vehicle that you select, advising on key contractual terms as related sales and/or financing agreements on the vehicle that you select, advising on extended warranty, insurance and/or additional add-ons and sharing proprietary data and insights to help you negotiate fair pricing and financing.

NO CANCELLATIONS OR REFUNDS OFFERED FOR PURCHASES OF FAIRCAROFFERS SERVICES, UNLESS EXPRESSLY DISCLOSED IN THIS AGREEMENT. ALL PAYMENTS PURCHASES ARE FINAL. Please see Section 5 for more details.

By Customer providing payment and FairCarOffers accepting such payment, the Parties consent to do business electronically in accordance with the ESIGN Act of 2000, and expressly agree to the following:

1. Acknowledgments

  • (a) The FairCarOffers Representative’s role is solely to assist you in the identification and/or negotiation of a potential vehicle purchase.
  • (b) Neither the FairCarOffers Representative nor FairCarOffers inspects, repairs, certifies, or guarantees the quality, safety, or functionality of any vehicle, nor does the FairCarOffers Representative or FairCarOffers provide any warranties, whether express or implied.
  • (c) The FairCarOffers Representative does not accept any deposits from you for any vehicle; such deposits shall be made directly to the dealer selling the car that you select with the support of a FairCarOffers Representative.
  • (d) The FairCarOffers Representative does not sign or complete any contractual paperwork on behalf of you. Notwithstanding the foregoing, the FairCarOffers Representative will be available to answer any questions you have regarding any agreement involving the purchase of a vehicle that you identify with the support of a FairCarOffers Representative.
  • (e) It is prohibited for any FairCarOffers Representative to work for a dealership and simultaneously steer any FairCarOffers deals to that dealership for which the FairCarOffers Representative works or has previously worked. The FairCarOffers Representative may leverage its knowledge gained from working at a dealership to help you find a deal right for you, but must at all times remain an objective partner to help you find the right vehicle from the right dealership at the right price.
  • (f) FairCarOffers or the FairCarOffers Representative may use a broker, shipper, a dealership or another third party to help facilitate the shipment of your vehicle to you. In this capacity, the FairCarOffers Representative is acting as either an intermediary or a broker, and is not a shipper. FairCarOffers IS NOT A SHIPPER. AS SUCH, FairCarOffers IS NOT LIABLE FOR ANY DAMAGES, INCLUDING REPLACEMENT VALUE, DEDUCTIBLES OR DIMINISHED VALUE, ARISING FROM ITS ROLE IN COORDINATING SHIPMENT OF YOUR VEHICLE THROUGH A BROKER SERVICE, DEALERSHIP OR DIRECTLY WITH A SHIPPER.

2. Release and Waiver

You, for yourself and your successors, heirs, assigns, executors, administrators, and any other persons or entities who could bring a claim on their behalf, does hereby release, acquit, and forever discharge FairCarOffers, the FairCarOffers Representative, their officers, directors, agents, employees, and successors from any and all liabilities, claims, demands, actions, causes of action, costs, and expenses, whether at law or in equity, whether known or unknown, arising out of or related to any defects, latent or apparent, in any vehicle that you may select and/or purchase with the FairCarOffers Representative’s assistance, including any claims arising from death, loss of function and/or injury resulting from your use of the motor vehicle that you purchased with FairCarOffers’s assistance.

3. Indemnification

You agree to indemnify, defend, and hold harmless the FairCarOffers Representative and FairCarOffers, their officers, directors, agents, and employees from and against all losses, liabilities, expenses, claims, damages, and costs, including reasonable attorney’s fees, arising out of or related to any claim or action concerning the mechanical condition, physical condition or any other aspect of any vehicle purchased with the FairCarOffers Representative’s assistance, including any claims arising from death, loss of function and/or bodily injury, and as well as any costs and/or fees as pertains to government regulated Department of Motor Vehicle (“DMV”). For avoidance of any doubt, this includes any damage and/or mechanical issues not disclosed on a pre-purchase inspection coordinated through FairCarOffers or the FairCarOffers Representative. You acknowledge that the dealer and/or the party directly responsible for the shipment and/or delivery of a vehicle is solely responsible for the condition of any vehicle you purchase, providing accurate and up-to-date information regarding sales taxes and DMV fees, for any and all states, and the FairCarOffers Representative and FairCarOffers shall be indemnified and held harmless from any liability or claims arising from any discrepancies.

4. Payment Terms

FairCarOffers accepts credit cards as a secure form of payment through a secure payment processor that it selects, in its sole discretion, including Visa, Mastercard, American Express, and Discover. The full payment for the services are due upfront to initiate services.

5. Refund & Satisfaction Policy

At FairCarOffers, we don’t get paid to “try”—we get paid to deliver results. Our service should be an investment in your savings, not an added expense. If we don’t provide a clear financial advantage, we don’t keep your full fee. Here’s how it works:

5.1 The 24-Hour “Acceptance” Period

Every deal begins with a professional audit. After you submit your intake form and pay the service fee, our negotiators review your request against real-time market data.

  • Existing Offers: If you are hiring us to beat a formal written offer from a dealer, you must share that offer with us during intake. We use this as our benchmark.
  • New Searches: If you do not have an offer from a dealer, we will request a Target Price. We will use this to determine the feasibility of your request.
  • If we Accept the Job: You will receive confirmation within 24 hours. This means we are confident we can beat your dealer offer or hit your Target Price.
  • If we Decline the Job: If your request is unrealistic due to market conditions, we will share what is realistically achievable. If you do not agree to the adjusted price, we will decline the job and issue a 100% immediate refund.

5.2 Performance-Based Refunds

Once we Accept the Job, we commit our full resources to your deal. Because work has begun, there are no full refunds after acceptance. However, we guarantee our performance:

  • Existing Quote: If we cannot beat your provided “Out-the-Door” price by more than our $895 fee, we will refund the difference to ensure you are “whole.”
  • Target Price: If we fail to hit your vetted Target Price, we will refund the difference between the final price and the Target Price, up to the full amount of our fee.

5.3 Non-Refundable Scenarios

To protect our negotiators’ time and maintain the integrity of the “Unfair Advantage” we provide, the service fee is non-refundable in the following instances:

  • Result Delivered: Once we present you with a sourced vehicle at a price that meets your vetted criteria and our Savings Guarantee, our service is considered fully delivered.
  • Choice Not to Purchase: If we deliver the deal you requested, but you choose not to proceed for personal reasons (e.g., change of heart, financial changes, or deciding to handle the final steps yourself), the fee remains non-refundable.
  • Mid-Process Changes: If you change your requested vehicle (Make, Model, or Year) after we have accepted the job and negotiations have begun, your initial fee is forfeited. A $500 restart fee is required to begin the process for a new vehicle.
  • Bypassing the Negotiator: If you contact the dealership directly or finalize a deal behind our back while we are actively negotiating on your behalf, no refund will be issued.
  • Failure to Secure Financing: Your ability to fund the purchase is your responsibility. If you are unable to secure financing, or if you choose to reject the finance offers presented to you by the lender or dealership, this will result in a forfeiture of all funds paid to FairCarOffers.

FINALITY OF SALE: OUTSIDE OF THESE LIMITED INSTANCES, ALL PURCHASES MADE ON FAIRCAROFFERS.COM ARE FINAL. WE DO NOT PROVIDE FULL OR PARTIAL REFUNDS OUTSIDE OF THE CIRCUMSTANCES ABOVE. WE DO NOT GUARANTEE THAT YOU WILL REALIZE THE SAME SAVINGS AS OTHERS, AS EACH DEAL IS UNIQUE TO THE BUYER, THE REGION, AND THE VEHICLE SELECTED.

6. Scope of Services

Upon the processing of your payment by FairCarOffers, you will be invited to complete an online intake form. Follow the links and instructions to complete and submit the intake form. Upon receipt of your completed intake form, FairCarOffers will assign a FairCarOffers Representative. Once assigned, the FairCarOffers Representative will contact you, review your intake responses and ask any additional questions required to help them best serve you. Based on the service tier you select, your responses and the representations you make on your intake form, the FairCarOffers Representative will locate vehicle(s) agreeable to you, coordinate any test drive(s) and/or viewing(s), negotiate the purchase with the dealership, guide you through any questions related to purchase and/or financing and arrange for you and the dealer to connect to arrange an agreeable delivery date and time.

NOTE: In some cases, especially for long-distance purchases, there may be travel or additional shipping costs involved. It is your responsibility to pay these costs.

If, at any time after an agreed-upon vehicle of choice is selected and signed off on by you, you decided to change the agreed-upon vehicle of choice, the initial payment shall be retained as earned compensation by FairCarOffers, and an additional $500 is required to restart the car buying process to select a new vehicle of choice.

7. Your Responsibilities

  • (a) Accurate Information: You will provide accurate and up-to-date information about your expectations, preferences, requirements, and any specific details related to the desired vehicle.
  • (b) Cooperation in Negotiations: You will be available for communication and be willing to cooperate during the negotiation process with dealerships.
  • (c) Timely Responses: You will commit to providing timely responses to inquiries or requests for additional information can help streamline the process.
  • (d) Verification of Vehicle Details: You will carefully review all details provided about potential vehicles to ensure accuracy. You will perform due diligence about vehicle quality and condition. You will be solely responsible for any agreements you sign. You will raise any concerns about vehicle quality, condition or agreements that you sign directly with the dealer from where you purchase the vehicle.
  • (e) Compliance with Legal Requirements: You represent and warrant that you meet all legal requirements for purchasing or leasing a vehicle, including licensing and insurance.

8. Final Approval of Deal

You will always have the final say on whether to proceed with a deal negotiated by the FairCarOffers Representative.

9. Dispute Resolution and Miscellaneous Details

  • (a) Governing Law: This Agreement shall be governed by and interpreted in accordance with the laws of Delaware, USA.
  • (b) Venue: The parties agree that any disputes arising out of or relating to this Agreement shall be filed exclusively in the state courts located in the State of Delaware, and the parties consent to the personal jurisdiction of those courts and waive any objections as to venue or inconvenient forum in such courts.
  • (c) Dispute Resolution: FairCarOffers shall endeavor to resolve any disputes amicably and in good faith. If the parties are unable to resolve a dispute through negotiation, either party may initiate legal proceedings in accordance with the venue clause.
  • (d) Any refund that FairCarOffers offers, in its sole discretion, to you in the event of a dispute is a gesture of goodwill and shall not be an admission of wrongdoing or liability.
  • (e) Attorney Fees and Costs: In the event that legal action is required to enforce any of this Agreement, the prevailing party in any such action shall be entitled to recover reasonable attorney fees and costs.

10. SMS Terms

You can cancel the SMS service at any time. Just text “STOP” to +1 (415) 818-1757. After you send the SMS message “STOP” to us, we will send you an SMS message to confirm that you have been unsubscribed. After this, you will no longer receive SMS messages from us. If you want to join again, just sign up as you did the first time and we will start sending SMS messages to you again. Carriers are not liable for delayed or undelivered messages.

As always, message and data rates may apply for any messages sent to you from us and to us from you. You will receive one to several messages per day from us when you hire us while a service is active; you may receive 1-4 messages per month if you have not hired us. 11. Age Restriction

You must be at least 18 years of age to use our sites and services. By accessing or using Fair Car Offers, you represent and warrant that you are at 

least 18 years old. If you are under 18, you may not use our services.
